1. Acceptance of Terms

By installing, accessing, or using Woden's GitHub Apps ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, then you may not access or use our Services.

These Terms constitute a legally binding agreement between you (either an individual or entity) and Woden. If you are using our Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Services

2.1 DocBot

DocBot is a GitHub App that generates and updates repository documentation, pull request summaries, and related developer-facing content using AI services. DocBot currently includes a free tier (500,000 tokens per customer) so users can evaluate the product in real repository workflows. Paid subscription tiers are planned for future release pending platform verification.

2.2 Tagger

Tagger is a free GitHub App that provides pull request review context, including complexity scoring, risk signalling, and automated change classification without using AI technologies. This service is provided free of charge.

2.3 Service Desk & Project Sync

Service Desk & Project Sync is a GitHub App that provides a branded customer support portal built on GitHub Issues together with an advanced delivery board on GitHub Projects, including SLA tracking, time tracking, estimates, reporting insights, a repo-backed knowledge base, and notifications. It builds on your existing GitHub workflow and data rather than replacing it. Service Desk & Project Sync includes a free tier (1 project, 1 repository, up to 5 customers, with custom branding included) so users can evaluate the product, with paid subscription tiers that lift those limits. Customer-facing portal access uses Microsoft Entra External ID (local email/password accounts) or Google sign-in.

2.4 Third-Party AI Connector (Optional)

Service Desk & Project Sync offers an optional connector that lets you link your own third-party AI tool (such as Claude or ChatGPT) to your Service Desk notes. The connector is off by default and enabled solely at your direction. When you enable it, note content you expose is transmitted to and processed by your chosen AI provider (such as Anthropic or OpenAI) under that provider's own terms and privacy policy, not these Terms. You are responsible for your use of the connector, for ensuring you have the authority and rights to send the relevant content to that provider, and for complying with the provider's terms. Woden operates no AI model on content sent through the connector and is not responsible for the receiving provider's processing, availability, or output.

3. GitHub Marketplace Compliance

Our Services are distributed through the GitHub Marketplace and comply with all GitHub Marketplace policies and requirements. By using our Services, you also agree to GitHub's Terms of Service and applicable marketplace policies.

4. Account Registration and Access

To use our Services, you must have a valid GitHub account and necessary permissions to install GitHub Apps on the repositories where you intend to use our Services. You are responsible for maintaining the security of your account credentials.

5. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of your data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

Key Privacy Commitments:

  • Your source code is never stored - only processed in real-time for documentation generation
  • We collect minimal data necessary to provide our Services
  • We implement enterprise-grade security measures (TLS 1.3, encryption at rest, RBAC)
  • We comply with GDPR and other applicable privacy regulations
  • You can uninstall at any time to stop data collection
  • We never send your content to a third-party AI provider unless you opt in to the AI notes connector, in which case that provider's terms govern the processing (see Section 2.4)

6. Subscription and Payment Terms

6.1 Free Services

Tagger is provided free of charge with no usage restrictions.DocBot Free Tier provides 500,000 tokens per customer at no charge, subject to our Fair Usage Policy (see Section 6.4 below). Service Desk & Project Sync includes a free tier (1 project, 1 repository, up to 5 customers, with custom branding included) at no charge, with paid tiers that lift those limits. We reserve the right to modify or discontinue free services with reasonable notice.

6.2 Paid Services (Coming Soon)

Service Desk & Project Sync offers paid subscription tiers — Pro ($15/month), Unlimited ($50/month) and Advanced ($150/month) — priced in USD and billed through the GitHub Marketplace. Every feature is available on every tier; paid tiers differ from the free tier only by raising its limits (projects, repositories, admins and end users), save that the Advanced tier's AI and automation features are not yet built. Paid billing and limit enforcement go live following GitHub Marketplace verification; until then the free-tier limits are not enforced.

DocBot paid subscription tiers are planned for future release pending GitHub Marketplace verification (requires 100 installations). When available, payment terms, pricing, and billing cycles will be specified during the subscription process.

Where paid services are offered, fees are billed and collected by GitHub through the GitHub Marketplace and are non-refundable except as required by law or as specifically stated in these Terms.

6.3 Price Changes

We reserve the right to modify our pricing with 30 days' notice for existing customers. Continued use of paid services after price changes constitutes acceptance of new pricing.

6.4 Fair Usage Policy - DocBot Free Tier

The DocBot free tier is designed to provide generous access while ensuring sustainable service for all users. The free tier operates under the following usage model:

  • Per-Customer Allocation: Each customer (GitHub account or organization) receives 500,000 tokens as a lifetime allocation. This is typically sufficient to document a moderate-sized repository in full or process 80-120 individual pull requests.
  • Monthly Usage Pool: All free tier users share a monthly usage pool of 250,000,000 tokens. This pool resets on the first day of each calendar month. The shared pool ensures fair distribution of resources and sustainable service operation.
  • Usage Priority: When you use DocBot, the system first checks your individual 500,000 token allocation, then verifies capacity is available in the shared monthly pool before processing your request.
  • Pool Exhaustion: In the rare event that the monthly pool is exhausted before month-end, free tier processing will be temporarily paused until the pool resets. You will be notified if this occurs. Paid tier customers (when available) will not be affected by monthly pool constraints.
  • Reasonable Use: The free tier is intended for legitimate documentation needs. We reserve the right to investigate and restrict accounts engaged in abusive patterns such as automated token farming, deliberately wasteful usage, or circumvention of fair usage controls.

Transparency: Your current token usage is displayed on every DocBot comment on your pull requests, providing full visibility into your consumption. Monthly pool status is available through our support channels.

7. Acceptable Use Policy

7.1 Permitted Uses

Our Services are designed for:

  • Automating documentation generation for legitimate software development projects
  • Analyzing pull requests to improve code review efficiency
  • Maintaining up-to-date project documentation
  • Supporting development team workflows and collaboration
  • Educational and learning purposes in software development contexts

7.2 Prohibited Uses

You agree NOT to use our Services to:

  • Violate Laws: Engage in any illegal activities or violate applicable laws and regulations
  • Infringe Rights: Violate intellectual property rights, privacy rights, or other proprietary rights
  • Security Violations: Transmit malicious code, viruses, or attempt to compromise system security
  • Reverse Engineering: Attempt to reverse engineer, decompile, or extract source code of our Services
  • Competitive Use: Use our Services to develop or support competing products or services
  • Harmful Content: Generate documentation that is:
    • Harmful, abusive, threatening, or harassing
    • Defamatory, obscene, or offensive
    • Discriminatory based on race, gender, religion, nationality, disability, sexual orientation, or age
    • Misleading, fraudulent, or deceptive
  • Abuse and Manipulation:
    • Exceed reasonable usage limits or engage in token farming
    • Create multiple accounts to circumvent fair usage policies
    • Attempt to manipulate or game our billing or usage tracking systems
    • Use automated scripts to generate artificial usage
  • Service Disruption: Attempt to disrupt, overload, or impair our Services or infrastructure
  • Unauthorized Access: Access accounts, repositories, or data you don't have permission to access
  • Data Mining: Use our Services to scrape, mine, or collect data for purposes unrelated to documentation

7.3 Content Moderation

While our Services primarily generate technical documentation, we are committed to preventing misuse and harmful content:

  • AI Safety Measures: Azure OpenAI includes built-in content filtering to detect and prevent generation of harmful content (hate speech, violence, self-harm, sexual content)
  • User Reporting: Users can report concerning content or behavior via support channels
  • Investigation Process: We investigate reported violations within 48 hours
  • Enforcement Actions: Violations may result in warnings, temporary suspension, or permanent termination of service access
  • Appeal Process: Users may appeal enforcement decisions by contacting support with detailed information

7.4 Intended Use and Limitations

Intended Use:

  • DocBot is designed to generate technical documentation for software projects
  • Tagger is designed to analyze pull request complexity and provide development insights
  • Service Desk & Project Sync is designed to manage customer support and delivery work on GitHub Issues and Projects
  • These services are supporting tools requiring human oversight and review

Limitations and Disclaimers:

  • Not for Critical Decisions: Our Services are not intended for life-critical, safety-critical, or decision-making systems affecting health, safety, or legal rights
  • AI Accuracy: AI-generated documentation may contain errors or inaccuracies - always review before accepting
  • No Legal/Medical Advice: Services do not provide legal, medical, financial, or professional advice
  • Human Oversight Required: All generated content must be reviewed and approved by qualified developers
  • No Warranty of Completeness: Documentation may not cover all code functionality or edge cases
  • Context Limitations: AI models have limited context windows and may miss broader architectural considerations

7.5 Enforcement and Consequences

Violations of this Acceptable Use Policy may result in:

  • Warning: First-time minor violations receive written warning
  • Temporary Suspension: Repeated or moderate violations result in 7-30 day suspension
  • Permanent Termination: Serious violations (illegal activity, security breaches, repeated abuse) result in immediate permanent termination without refund
  • Legal Action: We reserve the right to pursue legal action for violations causing harm or damage

8. Intellectual Property Rights

8.1 Our Rights

Woden AI retains all rights, title, and interest in our Services, including all intellectual property rights. You are granted a limited, non-exclusive, non-transferable license to use our Services in accordance with these Terms.

8.2 Your Rights

You retain all rights to your repository content and data. Generated documentation and analysis results are provided to you under a perpetual license for your use, subject to continued compliance with these Terms.

9. Service Availability and Support

9.1 Service Level

We strive to maintain high availability for our Services but do not guarantee uninterrupted access. We provide reasonable efforts to maintain 99.9% uptime. Free tier availability may be subject to monthly usage pool constraints as described in Section 6.4.

9.2 Support

Support levels vary by service type:

  • Free Services (Tagger & DocBot Free Tier): Community support through documentation and GitHub issues
  • Paid Services (When Available): Priority email support with response time commitments

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WODEN AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, INCURRED BY YOU OR ANY THIRD PARTY, WHETHER IN AN ACTION IN CONTRACT OR TORT, EVEN IF WODEN AI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total liability for any claims arising from or related to our Services shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Woden AI from any claims, damages, or expenses (including reasonable legal costs) arising from your use of our Services, violation of these Terms, or infringement of any third party rights, including your use of any optional third-party AI connector and the content you choose to send through it.

12. Termination

Either party may terminate these Terms at any time. You may terminate by uninstalling our Services and canceling any paid subscriptions. We may terminate for breach of these Terms or discontinuation of Services with reasonable notice.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated through our Services or via email. Continued use after changes constitutes acceptance of modified Terms.

14. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to conflict-of-law principles. The courts of England and Wales shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms.

Nothing in this clause removes any statutory rights or protections — including data protection rights — available to you under the mandatory laws of your country of residence.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, the remaining provisions will remain in full force and effect. The unenforceable provision will be modified to the minimum extent necessary to make it enforceable while preserving its intent, or if that is not possible, it will be severed from these Terms.

18. Entire Agreement

These Terms, together with our Privacy Policy and any supplemental terms you agree to when using specific features, constitute the entire agreement between you and Woden regarding our Services and supersede all prior agreements and understandings, whether written or oral.
